연혁

Fidelity National Information Services traces its roots to Systematics, founded in 1968. The business was later acquired by ALLTEL Information Services and then bought by Fidelity National Financial in 2003, after which it was renamed Fidelity Information Services. In the following years it acquired a string of companies including ALLTEL's financial services unit, Aurum, Sanchez, InterCept, Certegy, eFunds and Metavante, assembling a financial-technology group spanning bank core accounting, card issuing, check risk management, payments and back-office outsourcing. Its public listing came not through a conventional IPO but largely from the 2006 combination of Former FIS with Certegy: Former FIS was merged into a wholly owned Certegy subsidiary, after which Former FIS shareholders held about 67.4% of the combined company, the name changed from Certegy Inc. to Fidelity National Information Services, and the ticker changed from CEY to FIS; the Certegy deal was priced at $33.38 per share, implying consideration of roughly $2.181 billion. On November 9, 2006 the former parent Old FNF then merged with FIS, making FIS an independent public company. In 2015 FIS acquired SunGard, which brought it into asset management, trading, custody, treasury, third-party administration and clearing, expanding it beyond bank core systems into capital-markets back-office software. In 2019 FIS completed its roughly $43 billion acquisition of Worldpay, but in 2023 it took a $17.6 billion impairment on the merchant business and moved to separate it, agreeing to sell a majority stake in Worldpay to GTCR (completed in the first quarter of 2024). Amid this, in December 2022 the company launched a comprehensive strategic review and changed its governance: Jeffrey A. Goldstein became independent chairman, Stephanie Ferris became CEO, and James Kehoe joined as CFO in August 2023. In 2025 FIS announced the sale of its remaining 45% Worldpay stake to Global Payments while acquiring Global Payments' Issuer Solutions business; both transactions closed on January 9, 2026, and Issuer Solutions was renamed FIS Total Issuing Solutions. The company is headquartered in Jacksonville, Florida and employs about 44,000 people.

업계 내 위치

FIS operates as a large-scale provider of mission-critical infrastructure software and processing services for financial institutions, organized around two core segments: Banking Solutions and Capital Market Solutions. In 2025 Banking Solutions generated about $7.285 billion in revenue at an adjusted EBITDA margin of roughly 43.4%, while Capital Market Solutions generated about $3.196 billion at a margin of roughly 51.8%, making the capital-markets unit one of its highest-quality businesses. The banking segment sells core processing and ancillary applications to global, regional and community banks, credit unions and commercial lenders, with many contracts being multi-year processing agreements that give revenue strong predictability; the capital-markets segment covers wealth and retirement, trading, custody, back-office processing and capital-markets workflow. About 77.8% of 2025 revenue came from North America. Its competitive moats rest on high switching costs (core banking systems are old, complex and deeply coupled to ancillary services, making replacement risky and costly), scale economics that spread compliance and R&D costs across a broad client base, product depth and workflow embedding (notably the capital-markets footprint from SunGard), and an integrated channel of long-term institutional client relationships. Among comparables, Fiserv and Jack Henry are the most direct peers in bank core and payment processing, while SS&C and Broadridge are closer comparables in capital-markets and back-office software; after divesting Worldpay, FIS is less directly comparable to Global Payments or pure merchant-acquiring firms. Relative to Fiserv it carries a smaller merchant front-office presence; relative to Jack Henry it is broader, more complex and more international; relative to SS&C and Broadridge it is less focused, positioning it as a broad institutional financial-infrastructure platform serving bank core, payment processing and capital-markets back office on a single client map.
