연혁

Global Payments traces its payment roots to the electronic transaction processing business of National Data Corporation. The company was founded in 1967, is headquartered in Atlanta, Georgia, and began trading on the NYSE in early 2001 after being separated as an independent company. Its growth was driven by four major acquisitions. At the end of 2015 it announced the purchase of Heartland Payment Systems for about $4.3 billion, deepening its reach into U.S. SMB distribution and POS/vertical software. In 2019 it merged with TSYS in an all-stock deal valuing TSYS at about $21.5 billion; after completion Global Payments shareholders held roughly 52% and TSYS shareholders roughly 48%, turning the company into a combined merchant-plus-issuer platform. In 2022 it announced the acquisition of EVO Payments for about $4 billion, closing in the first quarter of 2023 and extending its European and international merchant acquiring and B2B software-payment capabilities. The most transformative move was an exchange-style restructuring: in April 2025 it announced the acquisition of Worldpay at an enterprise value of about $24.25 billion while simultaneously selling its own Issuer Solutions business to FIS at an enterprise value of $13.5 billion. That transaction completed in January 2026, with GTCR receiving about 43.3 million GPN shares and about $6.2 billion in cash, and the company formally became a pure-play commerce solutions provider. Alongside these deals, Global Payments divested non-core assets, including its Netspend consumer and gaming businesses in 2023, AdvancedMD in 2024, Heartland Payroll in 2025, and Issuer Solutions. In September 2025 it reached an arrangement with Elliott that added two independent directors and established an integration committee at the board level.

업계 내 위치

Following the Worldpay acquisition and the divestiture of Issuer Solutions, Global Payments is a pure-play merchant-oriented commerce solutions company spanning customers from small businesses to global enterprises, operating in 38 countries with roughly 26,000 to 27,000 employees. Its continuing operations are concentrated in a single Merchant Solutions segment organized around three revenue lines; in 2025 POS and software generated about $1.322 billion, Integrated and Embedded Solutions about $3.408 billion, and Core Payments about $2.977 billion. The company competes against a varied set of payment players: Fiserv, the closest traditional large-scale rival with its Clover ecosystem and bank-technology base; Adyen, an engineering-driven single-platform enterprise payments specialist; Toast, a vertical restaurant-software and payments provider; and Block's Square, an SMB-focused ecosystem platform. Within this map Global Payments is a large-scale, broad-distribution platform that aims to cover everything from small merchants to enterprise, positioned as a catch-up player within the leading tier rather than a new disruptor or pure incumbent. Its sources of competitive advantage include a distribution network built through direct sales, referral and wholesale partnerships, ISV/platform embedding and global channels; switching costs that are stronger among integrated SMB merchants using POS, vertical software, reporting, reconciliation, dispute management and device deployment but weaker among enterprise merchants who can redirect transaction volume; and scale together with the operational and regulatory complexity of sponsor-bank relationships, card-network rules, cross-border compliance, fraud and chargeback management, and settlement and funds management.
