沿革

SGS SA traces its origin to 1878, when Henri Goldstuck founded the business in Rouen to inspect grain shipments; within a year, offices opened in Le Havre, Dunkirk and Marseille. During World War I the headquarters moved to Geneva in 1915, and in 1919 the company adopted the name Société Générale de Surveillance. Its first long phase was a cargo-and-commodities era in which the original grain-inspection model expanded into marine, minerals, oil and industrial inspection. The shares were first listed on the Swiss exchange in 1985, which let the group professionalize capital allocation and extend into product testing, certification and regulated end-markets through specialist laboratory acquisitions; a 25-for-1 share split took effect on 12 April 2023. A new phase began in 2024: Géraldine Picaud succeeded Frankie Ng as CEO effective from the March 2024 AGM, Marta Vlatchkova joined as CFO from May 2024, and management launched Strategy 27 and relaunched M&A, completing 11 acquisitions in 2024 and 19 in 2025, including ATS, its largest deal ever (completed 12 January 2026 for CHF 1.029 billion in cash plus 344,850 SGS shares, at an enterprise value of USD 1.325 billion). In January 2025 SGS and Bureau Veritas confirmed discussions on a potential business combination, then ended them without an agreement less than two weeks later. By 2025 the group generated CHF 6.945 billion of sales at a 16.0% adjusted operating margin, with about 199.44 million shares outstanding after the April 2026 scrip dividend issuance.

業界での地位

SGS SA is the world's broadest publicly listed testing, inspection and certification (TIC) group, operating more than 2,500 laboratories and business facilities across 115 countries. Its competitive position rests on four grounded pillars: accreditation and regulatory acceptance that take years to build, network density that lets multinationals use one provider across sites and product lines, a reputation for independence that customers buy as external proof, and adjacency, whereby a relationship that begins in product testing can widen into certification, ESG assurance, cybersecurity, consulting or supply-chain verification. SGS described the global TIC market in 2022 as roughly CHF 255 billion with about 45% accessible to outsourced providers, while later market work cited by BCG put the broader TIC market above €300 billion in 2024 with outsourcing penetration around 60% — a vast, fragmented field where scale helps and major players can consolidate niches. Its closest listed generalist peers are Bureau Veritas and Intertek, with Eurofins a broader, more laboratory-intensive comparator, ALS a narrower testing-led peer, and DEKRA a large private benchmark; across this set SGS is neither the fastest-growing specialist nor the highest-margin operator, but offers breadth and balance across testing, inspection and certification. In 2025, Testing & Inspection produced CHF 6.165 billion of sales at a 15.5% adjusted operating margin and Certification (Business Assurance) CHF 780 million at a 19.6% margin, with Asia Pacific and Europe each contributing about one-third of sales and North America 13%.
