History

Constellation Brands, Inc. was founded in 1945 and is headquartered in Rochester, New York. Together with its subsidiaries, it produces, imports, markets, and sells beer, wine, and spirits across the United States, Canada, Mexico, New Zealand, and Italy, offering beer under the Corona and Modelo families, Victoria, and Pacifico, wine under brands including Robert Mondavi Winery, Ruffino, Kim Crawford, and The Prisoner Wine Company, and spirits under High West, Casa Noble, Mi CAMPO, and Nelson's Green Brier. Over time the company's profit base has become heavily concentrated in beer: in FY2026 the Beer segment generated $3.161 billion in operating income versus only $10.5 million for Wine and Spirits. A central asset is its exclusive, perpetual right to import, market, and sell the Corona and Modelo brands in the United States. The portfolio has been actively reshaped through the 2025 Wine Divestitures and continued restructuring of the wine and spirits business, while capacity has expanded via the Veracruz Brewery, with initial production expected in late FY2026 or early FY2027. In April 2026 Nicholas Fink succeeded as CEO. Across FY2023 to FY2026, total debt was reduced from $12.461 billion to $10.569 billion, and FY2026 net sales were $9.139 billion.

Industry position

Constellation Brands is a significant producer and marketer of beer, wine, and spirits in the United States, with its competitive position centered on high-end imported beer. Per its 2025 proxy, the company maintained the position of the number one high-end beer supplier in the United States, achieved its 15th consecutive year of beer volume growth, and recorded industry-leading share gains in Circana-tracked U.S. channels. Its position rests on its exclusive, perpetual brand licenses for Corona and Modelo in the U.S. market, strong brands such as Corona, Modelo, and Pacifico, scale across its portfolio and national distribution, and depth within the U.S. three-tier distribution system. Named competitors in the beverage space include Brown-Forman and Diageo. The company also has long-oriented major shareholders: the Sands Family Group held about 12.0% of the Class A shares as of the 2025 proxy, and Berkshire Hathaway held about 6.8%.
