沿革

Copart, Inc. was incorporated in 1982 and is headquartered in Dallas, Texas. The company went public on March 16, 1994, and has never paid a cash dividend since its IPO, retaining capital for reinvestment in the business. Over time it built out its salvage and low-value vehicle remarketing operation around a fully online model, conducting auctions entirely over the internet through its third-generation internet auction-style sales technology (VB3). Copart expanded internationally and now operates across the United States, United Kingdom, Germany, Brazil, Canada, the United Arab Emirates, Spain, Finland, Oman, the Republic of Ireland, and Bahrain, running an agency model in most markets while also operating partial principal/own-account models in the UK, Germany, and Spain. The company broadened beyond core salvage through the stock-funded acquisition of Purple Wave, Inc., which offers wholesale construction, agriculture, and fleet remarketing via no-reserve online auctions, and added wholesale powersport vehicle remarketing. Leadership transitioned to a separated Chairman/CEO structure: Willis J. Johnson serves as Chairman, while Jeffrey Liaw, an internally developed executive who previously served as CFO and head of North American operations, became CEO in April 2024. The company employs about 13,800 people; following an earlier stock split, weighted share count stood at roughly 967.5 million shares at FY2025 year-end and declined toward 963.3 million by January 31, 2026, as the company stepped up share repurchases beginning in FY2026.

業界での地位

Copart operates in vehicle remarketing, handling the towing, storage, imaging, inspection, title/registration processing, online bidding, and settlement of total-loss, accident-damaged, recovered-theft, and low-value vehicles, plus some non-salvage vehicles. Insurance companies are its dominant supplier base, accounting for 81% of vehicles processed in both FY2025 and FY2024 (83% in FY2023), with no single customer exceeding 10% of revenue across those three years. The business is primarily service-revenue driven rather than vehicle-resale driven: of FY2025 revenue of 4.647 billion USD, service revenue was 3.969 billion USD and vehicle sales revenue was 678 million USD, making service revenue roughly 85% of the total. In its 10-K, Copart identifies its principal competitors as Insurance Auto Auctions, Inc. (part of RB Global), Carvana, Openlane, Manheim, ACV, and dismantling leader LKQ, and notes that LKQ and independent dismantlers can buy vehicles directly from insurers, bypassing auction platforms; RB Global's 2024 annual report describes IAA as a leading global digital marketplace and discloses 311 group locations worldwide. Copart's competitive position rests on a combination of structural advantages rather than a single source: two-sided network effects from a buyer pool of roughly 1 million registered members that drives higher recovery values and attracts more sellers; physical scale and catastrophe-response capacity from a national network of permitted yards, where local zoning makes new sites costly and difficult to develop; title-processing know-how with direct connectivity to multiple state DMVs to speed transfers; and a data and API capability that embeds the company into insurers' workflows, creating switching costs for large sellers and fleets.
