Nebius Group N.V. was founded in 1989 and is based in Schiphol, the Netherlands, with an IPO date of May 24, 2011. The company was formerly known as Yandex N.V. and changed its name to Nebius Group N.V. in August 2024; in its 2024 20-F it described its retained businesses as Nebius AI, Toloka, Avride, TripleTen, a Finnish data center, and minority investments, with Toloka deconsolidated from 2025. It raised a $700 million private placement, a $1 billion public offering and $2.75 billion in convertible bonds, then about $6.3 billion via NVIDIA prepaid warrants and convertibles in Q1 2026. In early 2026 it acquired Tavily, announced the acquisition of Eigen AI, and obtained the Clarifai team and an IP license.
